1. Objective
The objective of the present general conditions of sale is first, to inform all customers of the conditions of sale and of HUILES & BAUMES' sales procedure and product delivery, and secondly, to define the rights and obligations of both parties in relation to the sale of products by the seller to the customer. They apply, without reserve or restriction, to all sales, by the company HUILES & BAUMES, of products found on their internet site. Consequently, any person ordering a product sold on the internet site of the company HUILES & BAUMES fully accepts the present conditions of sale in their entirely and acknowledges having familiarized themselves with these conditions before placing their order.
The customer, before placing their order, declares that : 
    • The purchase of products found on HUILES & BAUMES Co.'s internet site is void of any direct relationship to their professional activity and is strictly limited to personal use.
    • They are legally competent to enter into and bind themselves to the present general conditions of sale.
HUILES & BAUMES Co. reserves the right to modify the present conditions of sale at any moment.

2. Site access
The byer takes responsibility for the implementation of all telecommunication and information technology equipment needed to access HUILES & BAUMES Co. website.
The customer assumes all telecommunication costs while accessing the internet or using the site.

3. Rates
The products' sales prices found on HUILES & BAUMES Co.'s website, displayed in euros, are current at the time customer places his or her order. They do not include the cost of shipment, which is added to the price of the purchased products according to the total of the customer's order. Delivery charges will be given before the customer's order is placed.
Orders totaling 100 euros or more are free of delivery charge within Metropolitan France.
Prices include Value Added Tax (VAT), applicable the day of the order. All changes in the applicable rate will be reflected in the price of the products sold by HUILES & BAUMES Co. via its internet site.
The products sales' prices may be modified by HUILES & BAUMES Co. at any moment. The buyer will be notified of this change before any order.

4. Products characteristics
Pursuant to article L.111-L of the "Code de la Consommation", the customer may, prior to placing their order, familiarize themselves, with HUILES & BAUMES Co.'s website, with the products' essential characteristics or products they wish to order. The offers presented by HUILES & BAUMES Co. are valid within the limits of availability.

5. Orders
All orders assume adhesion without restriction or reserve to the present general conditions of sale. Upon placing their order by clicking on the icon "Confirmation", it is understood that the customer knowingly accepts, and this without hesitation, the present general conditions of sale, as well as the price, volume and quantity of the products proposed for sale and order. The customer may, however, cancel their order within one hour of its validation.
The customer's order must be confirmed by HUILES & BAUMES Co. via email.
The sale will not be considered definitive until after HUILES & BAUMES Co. has sent a confirmation email to the customer and collection by these means has been made for the totality of the price.
HUILES & BAUMES Co. recommends that the customer save all information pertaining to the order to either a paper or electronic document.
HUILES & BAUMES Co. sells the products on its website solely on a retail basis and to final consumers. Any order not manifestly corresponding to a retail sale, and more generally, any fraudulent order or any presumed to be fraudulent order, will be considered null and void by HUILES & BAUMES Co.

6. Payment
Payment is due at the time of the purchaser's order. Not at any moment will the deposited money be considered a deposit or a down payment.
All orders are payable in euros.
The customer disposes of the following modes of payment to settle their order : credit card, debit card and HUILES & BAUMES gift certificate.
The following credit cards are accepted on the site : Carte Bleue, Visa, American Express, Eurocard and Mastercard.
In the case of payment by check, HUILES & BAUMES will proceed with delivery upon clearance of the customer's check.
The customer guarantees HUILES & BAUMES that they are authorized to process any type of payment the customer has chosen to use for his or her order.
HUILES & BAUMES reserves the right to suspend or cancel any order and/or delivery, whatever the nature or level of its processing and execution, in case of non-payment of any sum due by the customer, or in case of any payment difficulties.
Penalties equal to the legal interest rate plus five interest points are automatically applied to unpaid totals after a period of ten days following the billing date or upon notification of bank payment rejection for any other mode of payment. Delivery of any new order may be suspended in the case of late payment of a preceding order and this notwithstanding the state of current orders.
HUILES & BAUMES reserves the right to ask for a photocopy of the customer’s identification card for all payments made by check. For totals exceeding 300 euros TTC, HUILES & BAUMES reserves the right to demand a standard certified photocopy of identification. 
To help protect against internet fraud, all information relevant to your order may be transmitted to third parties for verification.

7.  Delivery
Products will be delivered to the address indicated by the client at the time the order was placed. Bills will automatically be delivered to the email address entered by the customer at the time they set up his or her HUILES & BAUMES account. Failure to respect the procedures outlined below will result in the inability to file any claims on behalf of the customer. 
Expected delivery dates are strictly approximate. Failure to meet these deadlines does not allow for any reduction, indemnity, damages or compensation. In case of extenuating circumstances, expected delivery dates will automatically be considered moot for the duration of said extenuating circumstances. 
HUILES & BAUMES reserves the right to follow through with delivery either wholly or partially. In all cases, expected delivery dates will be respected only if the customer is up to date with their obligations in regard to HUILES & BAUMES. 
Merchandise is transported at the risk of the customer, whose responsibility it is to verify, upon delivery, that all products are in good condition. 
In case of damage or defects, the customer must :
    • Make precise and complete note of objections and content on the delivery slip.
    • Confirm these objections and content with the carrier by certified mail with return receipt requested within three days of delivery, pursuant to article L.133-3 of the new “Code de Commerce”.
    • Immediately inform HUILES & BAUMES, by certified mail with return receipt requested, of the damages or defects observed.
No penalty related to late delivery may be attributed to HUILES & BAUMES. In no case may the client infringe upon this arrangement. 

Features of the Postal Service’s “Colissimo Suivi” system :
The order will be delivered to the address indicated and the customer is to sign the delivery slip with return receipt requested. In case of absence, the client or addressee will be left a written notice, permitting them to collect the order at the nearest post office within fifteen days. 
The customer is required to verify, in the presence of the postal worker or carrier, the condition of the merchandise’s packaging as well as its contents upon delivery. 
In the event the customer would have any doubt of any nature pertaining to the condition of the contents of their package, they are required to :
    • Apply the procedure of Colissimo (in particular to report damages due, any and all claims, complaints and objections) and to refuse the merchandise by immediately issuing a certified report of fault with the postal official (constat 170). 
    • Alert HUILES & BAUMES Co. of these incidents.

Deadlines :
Expected delivery date, following validation of your order and in the case of Carte Bleue payment, is as follows :
    • Postal Service’s “Colissimo Suivi”: 3 to 5 business days.

8.  Right of Retraction
Pursuant to article L. 121-20 of the “Code de la Consommation”, the customer has seven full days from the date of reception to return for reimbursement, at their own cost, the products ordered.

9. Retention of title
All HUILES & BAUMES Co.’s sales are coupled with retention of title. As such, ownership of sold merchandise is transferred to the client upon full payment of the total price.
HUILES & BAUMES retains full ownership of all sold products until full payment is made on and cleared for the total cost, in theory charges and taxes included.
All risks are nonetheless transferred to the client at the moment the merchandise is handed over to the carrier.  The client must insure, at their own cost and risk, the conservation, upkeep, and use of the merchandise. 

10. Contractual Responsibility
HUILES & BAUMES cannot be held responsible for non-fulfillment of the contract in case of rupture of stock or unavailability of the product due to extenuating circumstances, disruption, disturbance or total or partial strike, most notably of the postal service and means of transportation and/or communication.
HUILES & BAUMES cannot be held responsible for any indirect torts that may arise during the purchase of the product.
HUILES & BAUMES cannot be held responsible in the event that the products sold are stored in abnormal conditions or in conditions that are incompatible with their nature.

11. Information Technology Law and Freedoms
Any information gathered by HUILES & BAUMES during order placement is needed by HUILES & BAUMES and the company’s commercial partners in order to manage the client’s orders. Pursuant to the Information Technology and Freedoms Law # 78-17 of January 6th, 1978, the customer has the right to access, rectify, oppose and suppress any data pertaining to them with HUILES & BAUMES. 
HUILES & BAUMES reserves the right to install cookies in the computers of those who visit its site. Cookies do not enable us to identify the internet user. In a general sense, they record information related to your computer’s navigation of our site (the pages you have consulted, the date and time of consultation, etc.) that we will be able to read upon your subsequent visits. In this particular case, they contain information with which you would have just provided us. As such, the next time you visit our site you will not need to refill out the form that we have already asked you to complete.

12. Competent jurisdiction and applicable law
Interpretation and execution of the present General Conditions of Sale, as well as all resulting deeds that may arise, are subject to French law.

In the event of litigation, whatever the nature, the competent jurisdiction will be the headquarters of HUILES & BAUMES.
